1.3 These terms operate together with the Terms of Sale, Privacy Policy, Shipping & Delivery Policy, Returns & Refunds Policy, Product Safety & Use Policy, product labels and any promotion-specific terms.
1.4 If there is any inconsistency, the document most specific to the relevant transaction or issue applies, subject always to New Zealand law.
1.5 If any provision of these terms and the Terms of Sale, Privacy Policy, Shipping & Delivery Policy, Returns & Refunds Policy, Product Safety & Use Policy or any promotion-specific terms is found to be invalid, unlawful or unenforceable, that provision will be severed to the extent necessary and the remaining provisions will continue in full force and effect.
1.6 A failure or delay by Panamex New Zealand Limited to exercise a right, power or remedy does not operate as a waiver of that right, power or remedy.

1.18 No licence is granted except as necessary to browse and use the website in accordance with these terms.
1.19 Copyright notices, trade marks and proprietary notices must not be removed or altered.
1.20 Product information, images, pricing, availability, descriptions, suitability statements, safety information and performance claims are provided in good faith and may change without notice.
1.21 Product images may differ from actual products due to packaging changes, photography, screen settings or stock variations.
1.22 Product use must always follow the product label, packaging, safety directions, Safety Data Sheet (SDS) references where applicable and any product-specific warnings.
1.23 Product performance may vary depending on surface type, surface condition, application method, water quality, storage, age of product and customer use.
1.24 Panamex New Zealand Limited will comply with the Fair Trading Act 1986 and will not knowingly publish misleading or deceptive product information.
1.25 A customer order is an offer to buy products and is not accepted merely because the Shopify checkout accepts payment or generates an order confirmation.
1.26 A contract is formed only when Panamex New Zealand Limited confirms acceptance of the order or dispatches the products.
1.27 Panamex New Zealand Limited may cancel, decline, refund or limit an order where reasonably necessary due to stock shortage, pricing error, product information error, technical error, payment issue, suspected fraud, delivery restriction, customer misuse, promotion misuse, breach of these terms or other operational issue.
1.28 Prices are in New Zealand dollars and include GST unless stated otherwise.
1.29 Obvious pricing, stock, promotional or technical errors may be corrected, and affected orders may be cancelled or refunded where legally permitted.
1.30 Payment is processed through Shopify and third-party payment gateways selected at checkout.
1.31 Panamex New Zealand Limited may conduct fraud-prevention, payment-verification and order-screening checks before dispatch.
1.32 Customers are asked to contact Panamex New Zealand Limited promptly before initiating a chargeback so the matter can be assessed and resolved where possible. This does not limit any legal right a customer may have to dispute a payment.
1.33 Promotions, discount codes, competitions and giveaways may be subject to separate terms, eligibility requirements, stock limits, expiry dates, fraud controls and New Zealand-only participation.
1.34 Competition, promotion, giveaway and discount-code terms must be approved by Panamex New Zealand’s Marketing Manager before launch.
1.35 Neopol does not guarantee uninterrupted or error-free operation of the website and may suspend, modify or withdraw functionality without notice.
1.36 Nothing in these terms limits or excludes rights under the Consumer Guarantees Act 1993, Fair Trading Act 1986, Privacy Act 2020, Unsolicited Electronic Messages Act 2007 or any other New Zealand law that cannot lawfully be limited or excluded.
1.37 To the fullest extent permitted by law, Panamex New Zealand Limited is not liable for indirect loss, consequential loss, loss of profits, business interruption, website outages, third-party platform outages, courier delays, customer misuse, unauthorised website use or product use outside instructions.
1.38 Panamex New Zealand Limited is not liable for failure or delay caused by events beyond reasonable control, including courier disruption, natural disaster, pandemic, strike, supply-chain disruption, system outage, cyber incident, regulatory action, product recall, power failure or force majeure event.
1.39 These terms are governed by New Zealand law, and disputes are subject to the non-exclusive jurisdiction of the New Zealand courts.
1.40 Panamex New Zealand Limited may amend these terms from time to time and may keep electronic records of versions, acceptance logs, checkout records, customer communications and evidence relevant to disputes.
